These User Terms and Conditions (“Terms”) govern the access to and use of the WellnessZ Experts platform, website, mobile application, software, dashboards, communication tools, booking systems, payment tools, content, and related services (collectively, the “Platform” or “Services”) made available by MOHI LIFESTILE SOLUTIONS PRIVATE LIMITED, a company incorporated under the laws of India, having its registered office at First Floor A-279, A-Block, New Amritsar, Amritsar, Punjab – 143001 (hereinafter referred to as “WellnessZ”, “Company”, “we”, “our” or “us”).

By accessing, browsing, registering on, booking through, paying through, or otherwise using the Platform, you (“User”, “you”, or “your”) agree to be bound by these Terms, together with our Privacy Policy and any additional policies, notices, disclaimers, or service-specific conditions displayed on the Platform.

If you do not agree to these Terms, you must not access or use the Platform.


1. NATURE OF THE PLATFORM

1.1 WellnessZ Experts is a technology-enabled platform that may enable Users to:

  • discover, browse, and connect with wellness professionals, coaches, nutritionists, dietitians, trainers, yoga experts, physiotherapy experts, mental wellness experts, and other experts listed on the Platform (“Experts”);

  • book consultations, programs, plans, sessions, memberships, or other services;

  • make payments through the Platform;

  • access digital content, communication tools, dashboards, reports, progress features, or other wellness-related services.

    1.2 Unless expressly stated otherwise, WellnessZ acts primarily as a platform, marketplace facilitator, software provider, and technology intermediary, and does not itself provide medical treatment, diagnosis, cure, or emergency healthcare services.

    1.3 Services shown on the Platform may be provided:

  • directly by an Expert;

  • by WellnessZ;

  • jointly through a technology and service arrangement between WellnessZ and the Expert; or

  • through third-party partners integrated with the Platform.

    1.4 The mere listing of an Expert on the Platform shall not be interpreted as a guarantee, endorsement, ranking preference, medical validation, or certification by WellnessZ, unless explicitly mentioned.


2. ELIGIBILITY

2.1 You must be at least 18 years old and legally competent to enter into a binding contract under applicable law to use the Platform.

2.2 If you are using the Platform on behalf of another person, including a family member, dependent, or minor, you represent and warrant that:

  • you are legally authorized to do so;

  • you have obtained all required permissions and consents; and

  • you accept these Terms on their behalf.

    2.3 WellnessZ may refuse access, suspend accounts, or decline services where eligibility is not met or cannot be reasonably verified.


3. ACCOUNT REGISTRATION AND USER INFORMATION

3.1 To access certain Services, you may be required to create an account and provide information including your name, age, email address, mobile number, address, health-related inputs, payment details, or other information requested on the Platform.

3.2 You agree that all information provided by you shall be:

  • true,

  • accurate,

  • current,

  • complete, and

  • lawfully provided.

    3.3 You shall promptly update your information if there is any change.

    3.4 You shall not:

  • impersonate any person or entity;

  • create an account using false details;

  • misrepresent your identity, age, health condition, or authority;

  • create multiple misleading or fraudulent accounts.

    3.5 You are solely responsible for maintaining the confidentiality of your login credentials, password, OTPs, access IDs, and account activity.

    3.6 You must immediately notify WellnessZ at support@wellnessz.in if you suspect any unauthorized access, misuse, breach, or compromise of your account.


4. MEDICAL, FITNESS, AND WELLNESS DISCLAIMER

4.1 WellnessZ Experts is not a hospital, clinic, emergency service, ambulance provider, or medical emergency platform.

4.2 If you have:

  • a medical emergency,

  • chest pain,

  • breathing difficulty,

  • severe injury,

  • suicidal thoughts,

  • urgent symptoms,

  • pregnancy-related complications,

  • severe allergic reactions,

  • or any other urgent medical concern,

you must immediately contact a qualified doctor, emergency responder, or visit the nearest hospital.

4.3 Content made available on the Platform, including meal plans, fitness suggestions, exercise videos, educational materials, coaching recommendations, reports, insights, wellness tips, progress charts, or communications from Experts, is intended for general wellness, informational, educational, or supportive purposes only, unless expressly stated otherwise.

4.4 Nothing on the Platform shall be construed as:

  • medical diagnosis,

  • prescription,

  • emergency care,

  • replacement for a doctor’s consultation,

  • guaranteed health outcome, or

  • assurance of suitability for your specific condition.

    4.5 You must not start, stop, delay, or modify any medication, treatment, therapy, supplement, or medical plan solely on the basis of content or services obtained through the Platform without consulting a qualified medical professional.

    4.6 Participation in exercise, nutrition, fitness, yoga, wellness, rehabilitation, or habit-based programs involves inherent risks. You voluntarily assume such risks while using the Platform and any services booked through it.


5. EXPERT LISTINGS AND PLATFORM ROLE

5.1 WellnessZ may display Expert profiles, qualifications, specializations, experience, pricing, ratings, reviews, content, programs, and other information based on details submitted by Experts, users, or internal systems.

5.2 WellnessZ does not guarantee:

  • the accuracy, completeness, legality, validity, or current status of every profile detail;

  • that an Expert is suitable for your needs;

  • specific results from any session or program;

  • uninterrupted availability of any listed Expert.

    5.3 User ratings, badges, “top expert” tags, visibility, listing order, or recommendations may be determined by internal algorithms, business logic, engagement levels, user feedback, profile completeness, subscriptions, commercial arrangements, or other internal factors. Such listing order does not constitute legal, medical, or professional endorsement.

    5.4 Your engagement with any Expert is at your own discretion and risk, subject to these Terms and any service-specific terms disclosed at the time of booking.


6. BOOKINGS, PURCHASES, AND PLATFORM SERVICES

6.1 The Platform may allow you to:

  • book one-to-one consultations;

  • purchase digital programs, plans, memberships, challenges, or subscriptions;

  • subscribe to paid content or premium services;

  • communicate with Experts;

  • access dashboards, files, progress trackers, reports, or related wellness tools.

    6.2 A booking, purchase, or subscription becomes valid only upon successful confirmation on the Platform and, where applicable, receipt of payment.

    6.3 All services are subject to:

  • Expert availability,

  • successful payment,

  • user eligibility,

  • applicable law,

  • service-specific restrictions,

  • and any operational limitations communicated on the Platform.

    6.4 WellnessZ reserves the right to decline, cancel, modify, reschedule, pause, or restrict bookings or services in cases including fraud suspicion, misuse, compliance reasons, technical error, force majeure, or Expert unavailability.


7. PRICING, PAYMENTS, GST, AND INVOICING

7.1 Prices displayed on the Platform may be determined by WellnessZ, the Expert, or both, depending on the nature of the service.

7.2 All fees, charges, convenience fees, platform fees, taxes, gateway charges, and applicable levies shall be as shown at checkout or otherwise communicated to you.

7.3 Payments made through the Platform may be processed by third-party payment gateways, processors, banks, wallet providers, or other service providers. WellnessZ is not liable for payment failures caused by such third parties, insufficient funds, expired cards, technical issues, banking restrictions, or user error.

7.4 You represent and warrant that:

  • the payment method used by you is valid and lawfully used;

  • you are authorized to make the payment;

  • funds are available for the transaction.

7.5 GST and Invoice Structure

You acknowledge and agree that the invoice structure on WellnessZ Experts may vary depending on the nature of the service and the legal/commercial arrangement applicable to the transaction, including the following:

(a) Where the relevant service is supplied directly by an Expert who is registered under GST and is the supplier of record, the invoice may be issued in the name of such Expert using that Expert’s GSTIN.

(b) Where the Expert is not registered under GST, or where WellnessZ is the seller, facilitator, aggregator, reseller, or billing entity for the relevant transaction as disclosed on the Platform, the invoice may be issued by WellnessZ using WellnessZ’s GSTIN.

(c) In some cases, separate invoices, receipts, or transaction summaries may be issued for:

  • the Expert’s service fee,

  • WellnessZ platform fee,

  • taxes,

  • or other related charges.

(d) The final invoice format, tax treatment, and billing entity shall depend on the transaction design, service structure, applicable tax law, and the arrangement disclosed to you at or before checkout.

7.6 You agree that transaction summaries, invoices, payment confirmations, or receipts generated by the Platform shall be deemed sufficient evidence of the payment transaction unless proved otherwise.


8. SUBSCRIPTIONS, AUTO-RENEWAL, CANCELLATION, AND REFUNDS

8.1 Certain Services may be offered on a one-time, recurring, monthly, quarterly, half-yearly, annual, or custom subscription basis.

8.2 A month shall mean 30 calendar days, and a year shall mean 365 calendar days, unless specifically stated otherwise.

8.3 Free trials, discounted periods, promo offers, and introductory plans may be offered at WellnessZ’s sole discretion and may be withdrawn, changed, or restricted at any time.

8.4 Unless expressly stated otherwise:

  • one-time purchases are non-cancellable and non-refundable;

  • partial usage does not entitle you to a refund;

  • failure to use a booked service does not create a refund right;

  • dissatisfaction alone does not automatically entitle you to a refund.

    8.5 For recurring subscriptions, you may cancel future renewals before the next billing date through your account settings or by contacting support, where such option is made available. Cancellation will usually stop future billing and will not create a refund for the already active billing period.

    8.6 WellnessZ may, in its sole discretion, provide credit, rescheduling, replacement, wallet balance, partial refund, or full refund in exceptional cases including duplicate payment, proven technical failure, cancelled service, or regulatory requirement.

    8.7 If a service is cancelled by WellnessZ or by an Expert due to non-availability, compliance reasons, or technical impossibility, WellnessZ may provide a reschedule, replacement, credit note, or refund as it deems appropriate.

    8.8 Any attempt to resell, transfer, or commercially exploit a paid subscription, package, membership, or access right without written authorization is strictly prohibited and may result in suspension, termination, recovery action, or legal proceedings.


9. FAMILY ACCOUNTS, SUB-ACCOUNTS, AND THIRD-PARTY BOOKINGS

9.1 WellnessZ may allow you to create sub-accounts, dependent profiles, or family-linked bookings where such feature is available.

9.2 You remain responsible for:

  • all data submitted under such profiles,

  • all permissions obtained,

  • all bookings made through your account,

  • all consequences arising from inaccurate or unauthorized information.


10. USER CONTENT, REVIEWS, AND SUBMISSIONS

10.1 You may upload, submit, post, or share content including text, reviews, ratings, feedback, images, health inputs, messages, files, and other materials (“User Content”).

10.2 You represent and warrant that:

  • you own or control the rights to such User Content;

  • it does not infringe any third-party rights;

  • it is not false, defamatory, obscene, abusive, unlawful, or misleading;

  • it is not uploaded in violation of privacy, confidentiality, or applicable law.

    10.3 By submitting User Content, you grant WellnessZ a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and use such content for operating, improving, marketing, securing, and administering the Platform, subject to the Privacy Policy and applicable law.

    10.4 WellnessZ may remove, moderate, restrict, or disable User Content at any time without notice if it believes the content violates these Terms, law, third-party rights, or platform safety standards.

    10.5 Reviews and ratings submitted by you must be honest, lawful, non-abusive, and based on genuine experience.


11.1 Your use of the Platform is also governed by the WellnessZ Privacy Policy.

11.2 You acknowledge that certain Services may require the collection, storage, processing, sharing, and display of:

  • personal data,

  • contact details,

  • usage information,

  • device information,

  • wellness information,

  • health-related information voluntarily submitted by you,

  • booking history,

  • payment records,

  • communications,

  • uploaded files and reports.

    11.3 By using the Platform and voluntarily submitting such information, you consent to WellnessZ and, where required for service delivery, the relevant Expert, partner, vendor, or service provider processing such data for lawful purposes including:

  • account creation,

  • service delivery,

  • booking fulfillment,

  • customer support,

  • personalization,

  • analytics,

  • compliance,

  • fraud prevention,

  • dispute management,

  • and platform improvement.

    11.4 Where you upload information relating to another individual, you represent that you are legally authorized to share it and have obtained all necessary consents.

    11.5 WellnessZ may use anonymized or aggregated non-identifiable data for product improvement, analytics, benchmarking, research, and business operations.


12.1 By registering or transacting on the Platform, you consent to receive communications from WellnessZ, Experts, payment partners, or service-related third parties via:

  • SMS,

  • WhatsApp,

  • email,

  • push notifications,

  • phone calls,

  • or in-app messages,

for purposes including account verification, booking confirmations, reminders, updates, offers, service communication, support, compliance, and transaction notifications.

12.2 You may opt out of promotional communications where such option is made available, but service-related and transaction-related communications may still be sent.


13. PROHIBITED USE

You shall not, directly or indirectly:

13.1 use the Platform for any unlawful, fraudulent, abusive, harmful, or misleading purpose;

13.2 post false reviews, fake profiles, defamatory statements, hate speech, obscene content, or unlawful material;

13.3 use the Platform to harass, threaten, exploit, impersonate, or injure any person;

13.4 upload viruses, malware, corrupted files, or malicious code;

13.5 copy, scrape, crawl, harvest, reverse engineer, decompile, extract source code from, or automate access to the Platform without written authorization;

13.6 interfere with platform security, operation, servers, or networks;

13.7 misuse any Expert’s data, contact details, files, images, or content;

13.8 reproduce, resell, sublicense, or commercially exploit the Platform or any paid access rights without permission;

13.9 attempt unauthorized access to another account, dashboard, session, or user data;

13.10 use any paid subscription, digital service, consultation access, or premium membership for unauthorized transfer or resale.


14. INTELLECTUAL PROPERTY

14.1 The Platform, including software, branding, names, logos, designs, layouts, text, graphics, videos, content, databases, and features, is owned by or licensed to WellnessZ and is protected by applicable intellectual property laws.

14.2 Except for the limited right to use the Platform as expressly permitted under these Terms, no rights are granted to you.

14.3 You shall not copy, reproduce, modify, distribute, display, sell, license, reverse engineer, or create derivative works from any part of the Platform without prior written consent.


15.1 The Platform may contain links to third-party services, payment gateways, tools, integrations, videos, content, or applications.

15.2 WellnessZ does not control and is not responsible for:

  • third-party content,

  • third-party privacy practices,

  • external platforms,

  • external products or services,

  • or third-party failures.

    15.3 Your use of third-party services is at your own risk and subject to their own terms and policies.


16. DISCLAIMER OF WARRANTIES

16.1 The Platform and Services are provided on an “as is” and “as available” basis.

16.2 To the maximum extent permitted by law, WellnessZ disclaims all warranties, express or implied, including warranties of:

  • merchantability,

  • fitness for a particular purpose,

  • availability,

  • accuracy,

  • non-infringement,

  • compatibility,

  • security,

  • uninterrupted access,

  • or error-free operation.

    16.3 WellnessZ does not guarantee:

  • specific health outcomes,

  • weight loss,

  • fitness gains,

  • reversal of conditions,

  • consultation satisfaction,

  • accuracy of Expert opinions,

  • uninterrupted access,

  • or that the Platform will meet every user expectation.


17. LIMITATION OF LIABILITY

17.1 To the fullest extent permitted by law, WellnessZ, its directors, officers, employees, affiliates, agents, licensors, vendors, and partners shall not be liable for any:

  • indirect,

  • incidental,

  • special,

  • exemplary,

  • punitive,

  • or consequential loss or damage,

including loss of profits, revenue, goodwill, opportunity, data, reputation, or business interruption.

17.2 WellnessZ shall also not be liable for:

  • Expert conduct, service quality, negligence, omission, or unavailability;

  • user reliance on Expert advice;

  • health complications arising from your participation in any plan, session, or program;

  • technical outages, payment failure, hacking, unauthorized access, malware, or data loss beyond reasonable control;

  • third-party failures;

  • cancellation, rescheduling, or delay caused by Experts or external parties.

    17.3 To the extent liability is not lawfully excludable, the aggregate liability of WellnessZ arising out of or relating to the Platform or these Terms shall not exceed the lower of:

  • INR 1,000; or

  • the amount actually paid by you to WellnessZ in the three months immediately preceding the event giving rise to the claim.

    17.4 Any claim arising out of or relating to the Platform or these Terms must be brought within 12 months from the date on which the cause of action first arose.


18. INDEMNITY

You agree to defend, indemnify, and hold harmless WellnessZ, its affiliates, directors, officers, employees, consultants, licensors, vendors, and partners from and against any claims, actions, proceedings, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use or misuse of the Platform;

  • your breach of these Terms;

  • your violation of law or third-party rights;

  • your User Content;

  • your dealings with Experts;

  • your fraudulent, negligent, abusive, or unlawful acts;

  • any unauthorized use of your account or credentials.


19. SUSPENSION, RESTRICTION, AND TERMINATION

19.1 WellnessZ may suspend, restrict, or terminate your access to the Platform, with or without notice, if:

  • you breach these Terms;

  • you misuse the Platform;

  • you engage in fraud or abuse;

  • required by law;

  • your conduct creates risk to other users, Experts, or WellnessZ;

  • your account is inactive, misleading, or unauthorized.

    19.2 Upon termination:

  • your right to access the Platform may cease immediately;

  • bookings or services may be cancelled or affected;

  • your content and account data may be retained or deleted in accordance with law, internal policy, and the Privacy Policy;

  • amounts already due shall remain payable.


20. MODIFICATIONS TO TERMS OR SERVICES

20.1 WellnessZ may modify these Terms, the Platform, features, pricing, service models, and policies at any time.

20.2 Updated Terms may be posted on the Platform. Your continued use of the Platform after such update constitutes your acceptance of the revised Terms.


21. GOVERNING LAW AND JURISDICTION

21.1 These Terms shall be governed by and construed in accordance with the laws of India.

21.2 Subject to applicable law, the courts at Amritsar, Punjab shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms and/or the use of the Platform.

21.3 WellnessZ shall be entitled to seek interim, urgent, or injunctive relief before any competent court or authority where necessary to protect its rights.

23. GENERAL PROVISIONS

23.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force.

23.2 Failure by WellnessZ to enforce any right shall not constitute a waiver.

23.3 These Terms, together with the Privacy Policy and applicable service-specific terms, constitute the entire agreement between you and WellnessZ in relation to the Platform.

23.4 You may not assign or transfer your rights or obligations under these Terms without prior written consent. WellnessZ may assign its rights and obligations without restriction.

23.5 Clauses which by nature should survive termination, including payment, limitation of liability, indemnity, intellectual property, jurisdiction, and dispute clauses, shall survive termination.
